1. Purpose and scope
This Acceptable Use Policy (Policy) sets out the rules for using the Folio Broker Platform and related services (the Platform). It is the ‘Acceptable Use Policy’ referred to in Folio’s Master Services Agreement and forms part of each agreement under which a customer (Client) and its Permitted Users access the Platform.
This Policy applies to the Client and to every Permitted User and any other person who accesses or uses the Platform. The Client is responsible for ensuring that its Permitted Users comply with this Policy.
Folio may update this Policy from time to time by notifying the Client in accordance with the applicable agreement (for the Master Services Agreement, clause 14.2). The current version applies to use of the Platform.
Capitalised terms not defined in this Policy have the meaning given in the applicable agreement.
2. Account and access responsibilities
You must keep login credentials secure and confidential, use available authentication controls (including multi-factor authentication where offered), and not share individual credentials.
You must ensure that only current, authorised Permitted Users have access, promptly remove access for anyone who no longer needs it, and promptly notify Folio of any suspected unauthorised access or Security Breach.
You must provide accurate account information and keep it up to date.
3. Prohibited conduct
You must not use the Platform to, or attempt to:
- breach any law or infringe any person’s rights (including intellectual property or privacy rights);
- upload, store or transmit content that is Objectionable — that is, defamatory, obscene, harassing, threatening, harmful, or otherwise unlawful;
- impersonate any person or misrepresent your authority to act for another person or for Folio;
- send unsolicited commercial electronic messages other than in accordance with the Spam Act 2003 (Cth);
- introduce malicious code, or interfere with or disrupt the integrity, security or performance of the Platform;
- gain or attempt to gain unauthorised access to the Platform, its systems, or other users’ data;
- probe, scan or test the vulnerability of the Platform without Folio’s prior written consent;
- reverse engineer, decompile or attempt to derive source code, except to the extent permitted by law;
- resell, sublicense or otherwise provide the Platform to third parties other than Permitted Users; or
- circumvent usage limits, access controls, or fair-use measures.
4. Content and data standards
You are responsible for the Customer Data you input. You must ensure it is lawful, is not Objectionable, and that you hold all rights and consents necessary for it to be stored and processed through the Platform, including for any Personal Information of your own clients.
You must not use the Platform to store or process data that you are not authorised to hold.
5. Integrations and third-party systems
Where you connect the Platform to a third-party system (such as an email provider or a policy administration system), you must be authorised to connect it and to have data exchanged with it, must comply with that provider’s terms, and are responsible for the credentials you provide.
You must not use an integration to access data or systems you are not authorised to access.
6. Communications and anti-spam
You are responsible for the electronic communications you send using the Platform, including compliance with the Spam Act 2003 (Cth) and any applicable do-not-contact requirements. You must hold the necessary consents and provide a functional unsubscribe facility where required.
7. Fair use and resource limits
You must not place a disproportionate or excessive load on the Platform, and must comply with any published API rate limits, transaction limits, and automation allowances set out in your Order Form or the Usage & Transaction Schedule. Folio may apply reasonable technical limits to protect the security and stability of the Platform for all users.
8. Automated and AI-assisted features
Where the Platform provides automation or AI-assisted features, you must use them in accordance with the applicable agreement and this Policy, must review outputs before relying on or sending them, and must not use them to generate Objectionable or unlawful content. AI-assisted outputs are aids, not advice.
9. Monitoring, suspension and enforcement
Folio does not routinely monitor Customer Data but may access, investigate and act on it where reasonably necessary to operate or secure the Platform, comply with law, or respond to a suspected breach of this Policy.
If you breach this Policy, Folio may (in accordance with the applicable agreement) remove or disable offending content, suspend or limit access, and, for serious or repeated breaches, terminate access. Folio will act reasonably and, where practicable, give notice. A suspension under this Policy is not a failure to meet any service level.
10. Reporting misuse or security issues
To report misuse, Objectionable content, or a suspected security vulnerability, contact abuse and security email addresses to be confirmed. Please do not publicly disclose a suspected vulnerability before Folio has had a reasonable opportunity to address it.
11. Changes to this Policy
Folio may update this Policy as described in clause 1. Continued use of the Platform after an update takes effect constitutes acceptance of the updated Policy.
12. Relationship to the agreement
This Policy is incorporated into, and forms part of, the applicable agreement between Folio and the Client. If there is any inconsistency between this Policy and the General Terms of that agreement, the General Terms prevail to the extent of the inconsistency, unless the agreement states otherwise.
